1. Comprehensive Overview

ViViD Code Studio (hereinafter "ViViD", "We", "Us"), a business unit of ViViD App Studio and wholly owned by ViViD Global Services, operates under a strict "Service-Based Fulfillment Model." Information, logic, and intellectual property are our primary deliverables. This Refund and Cancellation Policy outlines our global standards for financial settlements during the software development lifecycle.

2. Project Initiation & Deposits

All software engineering projects initiated with ViViD require a non-refundable 30% initiation deposit. This fee is used to:

  • Secure high-fidelity engineering resources and technical leads.
  • Allocate dedicated cloud computing and development environments.
  • Finalize software architecture and documentation phases.
The initiation deposit is completely non-refundable once project resources are allocated.

3. Project Cancellation Procedures

A project may be cancelled by either party via a formal written notice (Email to Project Lead).
  • Cancellation by Client within 7 days: The Client is eligible for a refund of payments made *beyond* the initiation deposit, less a 15% administrative and resource-teardown fee.
  • Cancellation by Client after 7 days: No refunds shall be issued. However, the Client will receive all source code, design assets, and documentation completed up to the date of cancellation, provided all pending invoices for work performed are cleared.
  • Cancellation by ViViD: In the rare event that ViViD cancels a project due to internal resource failure, the Client shall receive a full 100% refund of all payments made, including the initiation fee.

4. Milestone-Based Refund Protocols

We operate on a "Phase-Approval" system. Each milestone must be formally reviewed and approved by the Client via a User Acceptance Testing (UAT) phase. Once a milestone payment is received, it signifies the Client's complete satisfaction with that specific deliverable. Consequently, no refunds will be provided for completed and paid milestones.

5. "Cooling-Off" Period (EU/UK Clients)

For our B2B clients in the European Union and the United Kingdom, we comply with the "Consumer Rights" and "Business Contract" frameworks. A 14-day cooling-off period is provided; however, if development work is initiated with the Client's explicit consent during this period, the Client waives their right to a full refund for the work already performed.

6. Subscription Services & Retainers

For ongoing Maintenance Retainers or AI-Automation Subscriptions:
  • Cancellations: Must be submitted at least 30 days before the next billing cycle.
  • Refunds: No refunds are provided for partial use of a billing period.
